Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 23, 2019, Barbara D’Amato resigned as a member of the Board of Directors (the “Board”) of One Stop Systems, Inc., a Delaware corporation (the “Company”). Ms. D’Amato’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
