Item 8.01.

Other Events.

At its meeting on November 25, 2019, the Board of Directors of the Company declared a quarterly cash dividend of $0.10 per share for the holders of its common stock and a dividend payment to the holders of the Company’s 5.50% Fixed Rate/Floating Rate Noncumulative Preferred Stock, Series A. The Company issued a press release on December 2, 2019 regarding the dividend payments. The dividends will be paid on December 31, 2019 to shareholders of record on December 13, 2019.

A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
