Includes 315 shares of the Issuer’s Common Stock held by the Phillip and Patricia Frost Philanthropic Foundation, Inc., which is controlled by Dr. Frost and his wife. Also includes 4,229 shares of Common Stock held by Frost Gamma Investments Trust (“FGIT”). Dr. Frost is the trustee of FGIT. Frost Gamma L.P. is the sole and exclusive beneficiary of FGIT. Dr. Frost is one of two limited partners of Frost Gamma L.P. The general partner of Frost Gamma L.P. is Frost Gamma, Inc., and the sole shareholder of Frost Gamma, Inc. is Frost-Nevada Corporation. Dr. Frost is the sole shareholder of Frost-Nevada Corporation. The reporting person disclaims beneficial ownership of these securities, except to the extent of any pecuniary interest therein and this report shall not be deemed an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.

On August 19, 2019, the Issuer effected a 1-for-15 reverse stock split of its common stock (the “Reverse Stock Split”). The amount of securities reported on this Schedule 13G/A has been adjusted to reflect the Reverse Stock Split.

Based on 1,792,834 shares outstanding as of August 14, 2019 as reported by the Issuer in its Form 10-Q for the quarterly period ended June 30, 2019, as adjusted to account for the Reverse Stock Split, resulting in a total of 119,522 shares outstanding.

This statement is filed on behalf of Frost Gamma Investments Trust (“FGIT”) and Dr. Phillip Frost (together with FGIT, the “Reporting Persons”).

The Reporting Persons have entered into a Joint Filing Agreement, a copy of which is filed with this Schedule 13G as Exhibit 99.1, pursuant to which the Reporting Persons have agreed to file this Schedule 13G jointly in accordance with the provisions of Rule 13d-1(k) of the Securities Exchange Act of 1934.

The amount of securities reported on this Schedule 13G/A has been adjusted to reflect the Reverse Stock Split.

If this statement is being filed to report the fact that as of the date hereof the reporting person has ceased to be the beneficial owner of more than five percent of the class of securities, check the following. ☒

This Amendment No. 6 to Schedule 13G is being filed to report the fact that as of August 19, 2019, the Reporting Person has ceased to be the beneficial owner of more than five percent of the Common Stock. As a result, each Reporting Person to this Amendment No. 6 to Schedule 13G has no further reporting obligations on Schedule 13G with respect to its ownership of Common Stock of the Issuer, unless and until such time, that any transaction(s) were to occur that would require the Reporting Person to resume their reporting obligations on Schedule 13G.
