Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 16, 2018, Global Eagle Entertainment Inc. (the “Company”) appointed Walé Adepoju as its new Executive Vice President & Chief Strategy Officer, effective as of April 1, 2018 (the “Effective Date”). Mr. Adepoju currently serves as the Company’s Executive Vice President, Media & Content, and he will cease to serve in that role from and after the Effective Date. In his new role, Mr. Adepoju will manage the Company’s strategy, marketing and corporate-development initiatives, its content operations and its content-distribution businesses.
