Filed by Hexcel Corporation

pursuant to Rule 425 under the Securities Act of 1933

and deemed filed pursuant to Rule 14a-12

under the Securities Exchange Act of 1934

Subject Company: Hexcel Corporation

Commission File No.: 333-236737

Date: March 6, 2020

The following communication was made available to employees at Hexcel Corporation on March 6, 2020.

Annual Bonus Q&A

2.

What will the 2020 MICP financial pool funding payout be if we are well below target? Payouts will be calculated at the greater of (1) target or (2) actual performance up to the date of closing. So if we are below target achievement at the time of closing, then the plan will pay as if target performance was achieved. There is an opportunity to earn a pro-rated bonus at greater than target levels so we encourage everyone to continue their excellent work to drive the best results for Hexcel.

LTIP Q&A

3.

What happens to my 2020 LTIP awards if I am involuntarily terminated? Should you be involuntarily terminated (other than for cause) within two years after the date that the merger is completed, your outstanding 2020 LTIP awards would accelerate and vest at the time of your termination.

Forward-Looking Statements

Certain of the matters discussed in this communication which are not statements of historical fact constitute forward-looking statements that involve a number of risks and uncertainties and are made pursuant to the Safe Harbor Provisions of the Private Securities Litigation Reform Act of 1995.
