ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 23, 2020, Lisa W. Hershman, a director (with a term expiring in 2021) of 1st Source Corporation (the “Company”) and 1st Source Bank tendered her resignation as a director of the board, effective immediately. Ms. Hershman’s resignation
was due to her December 19, 2019 appointment by the unanimous vote of the United States Senate to the position of Chief Management Officer of the Department of Defense and not the result of any disagreement with the Company.
