Explanation of Responses:
(1)  Shares subject to the option vest as to 25% on February 25, 2003 and an additional 1/48th of the shares subject to the option vest monthly thereafter over the next three years, subject to Reporting Person continuing to provide services to Issuer.
(2)  Shares subject to the option vest as to 25% on May 1, 2003 and an additional 1/48th of the shares subject to the option vest monthly thereafter over the next three years, subject to Reporting Person continuing to provide services to Issuer.
(3)  On February 2, 2007, the Reporting Person was granted an option to purchase 225,000 shares of Common Stock under the Issuer's Long Term Incentive Program pursuant to which 50,000 shares subject to the option will vest on each of February 2, 2008, February 2, 2009 and February 2, 2010. Up to 75,000 remaining shares subject to the option could potentially vest upon achievement by the Issuer of at least 100% of the established revenue and net income targets (the "Performance Targets")(the "Eligible Award"). The shares subject to the Eligible Award shall vest as to 1/3rd on the date on which the determination of whether the Performance Targets have been met after the completion of the Issuer's audit for fiscal 2007, but in no event later than March 14, 2008, and 1/3rd on each of February 2, 2009 and February 2, 2010.
(4)  Shares subject to the option vest as to 25% on May 8, 2008 and an additional 1/48th of the shares subject to the option vest monthly thereafter over the next three years, subject to Reporting Person continuing to provide services to Issuer.
