Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 18, 2024, Kathryn Haun informed Coinbase Global, Inc. (“Coinbase”) that she will not stand for re-election to Coinbase’s Board of Directors (the “Board”) when her current term expires at Coinbase’s
2024 Annual Meeting of Stockholders (the “2024 Annual Meeting”). The Board appreciates and thanks Ms. Haun for over seven years of service to Coinbase and her invaluable contributions to the Board.
The Board anticipates that it will reduce the size of the Board from eight directors to seven directors, effective upon the expiration of Ms. Haun’s term at the conclusion of the 2024 Annual Meeting.
